Vinge advises Nordic Paper in connection with Strategic Value Partners’ public takeover offer

On 11 October 2024, Strategic Value Partners, through Coniferous Bidco AB, announced a public takeover offer to the shareholders in Nordic Paper Holding AB (”Nordic Paper” or the “Company”) to acquire all shares in Nordic Paper.

Nordic Paper is a leading specialty paper producer with its base in Scandinavia, and has been manufacturing top-quality kraft papers and natural greaseproof papers since the 19th century. The share is listed on Nasdaq Stockholm. The total value of the offer amounts to approximately SEK 3,345 million, based on the total number of shares in Nordic Paper. The offer was preceded by a process initiated by the Board of Directors of Nordic Paper to explore the potential interest from third parties for all shares in the Company, after the Company’s current main shareholder, Shanying International Holding Co., Ltd, having announced its intention to sell all or part of its stake in Nordic Paper. Trinax Group has acquired the Swedish company AddMobile and the Finnish company Scudo Solutions, which specialise in software for work order management and project and cost management respectively. The two acquisitions broaden the group’s offering across the entire value chain, from the client’s budget and costing to the contractor’s field work, whilst strengthening its geographical presence in Finland.
