Vinge has advised Amer Sports, Inc. in connection with the listing of the company on the New York Stock Exchange with 105,000,000 shares at a value of USD 1.37 billion, whereby Vinge has assisted Amer Sports, Inc. and its subsidiaries with regulatory matters and the establishment of credit facilities of USD 500 million and EUR 700 million respectively and with the issuance of USD 800 million senior secured bonds where the Swedish subsidiaries have provided certain guarantees.
Vinge has advised Smart Eye Aktiebolag in connection with a directed new issue of shares to Swedish and international investors which provided Smart Eye with SEK 150 million. The subscription price amounted to SEK 91 which was determined through an accelerated bookbuilding procedure arranged by Carnegie.
Vinge has advised Oncopeptides AB (publ) in connection with a fully guaranteed rights issue which will provide Oncopeptides with issue proceeds of approximately SEK 300 million before deduction of transaction costs.

Two of BHG’s existing businesses, i.e., Hemfint Kristianstad AB with the site hemfint.se and Arc E-Commerce AB with the site Outl1.se, are being consolidated. At the same time, Trendrum AB with the site trendrum.se is acquired. Together they form Hemfint Group, the turnover of which in 2023 amounted proforma to approximately SEK 800 million.
Vinge advised Dr Schär in the acquisition of Semper AB:s glutenfree business Dr. Schär, an Italian based company, is a developer of product for special nutritional needs.
Vinge has advised Samhällsbyggnadsbolaget i Norden AB (publ) ("SBB") in connection with SBB establishing a joint venture company for community properties together with Castlelake, LP ("Castlelake").
Lantmännen Cerealia has signed an agreement to divest its ready-to-eat business under the Gooh brand to Atria Sweden. The deal encompasses the entire business, as well as the Gooh brand. All staff currently working in the business area will be invited to join the transfer. The divestment means that Lantmännen Cerealia is focusing its operations on the grain value chain.
Vinge has advised Adelis Equity Partners on the establishment of a continuation fund to Adelis Equity Partners Fund II. The continuation fund is a so-called dual-asset vehicle which will invest in Presto and HVD Group (Hantverksdata) – both current portfolio companies of Adelis Equity Partners Fund II. The continuation fund, in which HarbourVest Partners will be the largest investor, will have EUR 430m in commitments and will invest alongside Adelis Equity Partners Fund III and the Adelis team.
