Vinge advises Swegon in UK acquisition

Vinge’s Magnus Pauli, Natalie Bäck and Björn Nicolai in close co-operation with the UK law firm, Maclay Murray Spens, have advised Swegon in connection with the acquisition of all shares in Ruskin Air Management Limited (RAML) from Johnsdon Controls.

RAML is a leading manufacturer and distributor of fire/smoke dampers and air distribution products in Great Britain and Ireland. The company has a turnover of approximately SEK 300 million.

Swegon is a subsidiary of the Latour Group and is a market leading manufacturer and supplier of indoor climate systems and products.

Vinge has advised SBB and Sveafastigheter in connection with an exchange offer

Vinge has advised Samhällsbyggnadsbolaget i Norden AB (SBB) and Sveafastigheter AB in connection with an exchange offer directed to investors in SBB’s outstanding bonds, whereby investors exchanged senior and hybrid bonds in SBB for new senior bonds issued in Sveafastigheter AB. The existing bonds were partly issued under SBB’s EMTN programme, partly on a standalone basis. Following the transaction, the investors have been slotted in under Swedish bond terms on a standalone basis.
