Vinge advises RusForest in connection with in kind acquisition of minority stakes in subsidiaries

RusForest AB has acquired the outstanding minority stakes in its Ust Ilimsk based subsidiaries LLC RusForest Ust Ilimsk and LLC PIK-2005. The acquisitions were carried out by way of an issue in kind of a total of 847,645 new RusForest shares to the previous owner in accordance with the authorisation to issue shares granted to the Board by the EGM held on 15 April 2011.

Vinge’s team consisted of Jesper Schönbeck and Christian Granqvist. Göran Nyström is partner in charge.

Vinge has advised SBB and Sveafastigheter in connection with an exchange offer

Vinge has advised Samhällsbyggnadsbolaget i Norden AB (SBB) and Sveafastigheter AB in connection with an exchange offer directed to investors in SBB’s outstanding bonds, whereby investors exchanged senior and hybrid bonds in SBB for new senior bonds issued in Sveafastigheter AB. The existing bonds were partly issued under SBB’s EMTN programme, partly on a standalone basis. Following the transaction, the investors have been slotted in under Swedish bond terms on a standalone basis.
