Vinge advises Alder, Umia and the founders in connection with the sale of Umia Innovation to TSG

Vinge has advised Alder, Umia and the founders in connection with the sale of Umia Innovation to The Specialist Group (TSG), a portfolio company of Oaktree Capital Management.

Umia Innovation, with offices located in Umeå, Skellefteå och Örnsköldsvik, provides knowledge-based consultancy services within processing, technology and leadership. The company has customers within, among other things, the mining industry, forestry, medical technology, the car industry and the energy sector. Umia Innovation has changed its name to Altio in connection with the transaction.

Vinge’s team primarily consisted of Johan Larsson, Karl Klackenberg, Ellinor Wargenbrant, Carl Fredrik Wachtmeister, Robin Fagerström (M&A), as well as Jessica Henning and Emy Rydén (project assistants).

As part of the transaction, Indigo Management AS becomes a minority owner of the company.

Vinge has advised Eleda in connection with the acquisition of Nordic Infrastructure Group AS (“Qben Rail”)

Qben Infra AB and ININ Group AS, which is majority owned by Qben Infra AB, have entered into a share purchase agreement with Eleda through Eleda’s subsidiary Eleda Norge AS (“Eleda”), to divest the Qben Rail platform to Eleda for a total enterprise value of up to NOK 850 million, including an earn out of up to NOK 65 million. Completion of the transaction is subject to customary closing conditions, including approval from the Swedish Inspectorate of Strategic Products and the Norwegian Competition Authority.
