VINGE ADVISES OPUS IN CONJUNCTION WITH ACQUISITION OF DREW TECHNOLOGIES

Vinge has advised Opus Group in connection with Opus Inspection, Inc.’s acquisition of all shares in Drew Technologies Inc., Michigan USA. Drew is a leading manufacturer of vehicle analysis equipment and diagnostics equipment for the vehicle inspection industry and OEM vehicle industry. The purchase price is USD 30 million (approximately SEK 250 million) plus a possible earn-out of USD 4.4 million (approximately SEK 36.5 million).  The transaction has been financed through a cash payment of USD 25 million (approximately SEK 209 million) and a directed issue in kind to the sellers of USD 5 million (approximately SEK 42 million). The transaction is expected to be completed within a thirty day period.
