The new company has 460 employees, excluding subsidiaries, and has a budgeted turnover of SEK 2.2 billion. It operates in western Sweden; from Strömstad to Halmstad, towards Småland and up to Värmland and Örebro. The business remains broad and focuses on, among other things, contracting, construction and damage services as well as project development. The head office of the new company is in Mölndal, Gothenburg.

Vinge advises Zengun Group AB

Vinge has advised Zengun Group AB (publ), in connection with the acquisition of the Zengun Group and in conjunction with a bond issue. The construction group Zengun’s founders have, together with the other owners and senior officers, through Zengun Group AB (publ) (the “Company”) repurchased the shares in Zengun Group Holding AB from Segulah Fund V.

In connection with the acquisition, the Company has issued a secured bond in an amount of MSEK 450. The bond, with an interest amount of MSEK 600, is subject to a variable interest rate of STIBOR 3m + 8 per cent and has a final due date in May 2022. The Company has prepared a prospectus which has been approved by and registered at the Swedish Financial Supervisory Authority in accordance with the Swedish Trading in Financial Instruments Act (1991:980) and will apply for listing of the bond on Nasdaq Stockholm.

Vinge advises Isofol in connection with IPO

The prospectus is expected to be published on 20 March 2017 and the first day of trading on First North Premier is planned for 4 April 2017. The subscription price in the offer is SEK 29 per share, which corresponds to a value of Isofol of approximately MSEK 487 prior to the offer.

Isofol is an oncology company which clinically develops Modufolin which is a first choice medicament in conjunction with treatment of spread colorectal cancer and is standard therapy in conjunction with high dosage treatment with metotrexat of osteosarcoma. Isofol thus intends to replace the existing folate-based medicaments leukovorin and levoleukovorin, which are currently considered to be the standard treatment within these treatment areas.

Through a worldwide, exclusive license agreement Isofol Medical holds all rights to a global commercialization of Modufolin for cancer treatment as well as access to Merck KGaA’s (Darmstadt, Germany) patent-protected manufacturing process and production capacity.

Viltor AB, a company owned by JCE Group Aktiebolag and Tequity AB, has announced a recommended cash offer to the shareholders of Cybercom Group AB (publ) (Nasdaq Stockholm). The offer values Cybercom at around SEK 541 million.

Vinge has advised Latour Industries in connection with the acquisition of the Finnish group of companies, Produal. The Produal Group conducts operations relating to the construction of automation measurement technology.

As a result of the acquisition, Latour Industries has strengthened its position within automation measurement construction and energy efficiency within building structures. Through the acquisition, Latour’s net indebtedness has increased by EUR 43 million.

Vinge has advised Swegon in connection with the acquisition of 90 per cent of the shares in the Belgian airflow technology company P. Lemmens from the current shareholders Waterland Private Equity and Stephan Lemmens. P. Lemmens has 59 employees and had a turnover of EUR 26 million in 2013. P. Lemmens largest product segment is total airflow control within an integrated electronic control system. The other product segments include fans, ventilation and heat recovery products.

Vinge has advised TMW Pramerica Property Investment GmbH in connection with the sale of Fastighets AB Fogsvansen which owns and manages Eriksberg shopping centre in Gothenburg. The property is situated close to Linholmen in Hissingen and has a lettable area of 10 700 m2, all of which is currently leased to large tenants such AS Coop Extra and Systembolaget.

TMW Pramerica Immobilien GmbH is the European arm of Pramerica Real Estate Investors. The subsidiary, TMW Pramerica Property Investment GmbH acquired Eriksberg shopping centre in January 2005 on behalf of its fund, EuRetail. The Pramerica Group has owned the property for a decade.
