INIM Pharma develops a new local treatment of severe and unusual forms of lung disease such as idiopathic lung fibrosis. 

The acquisition is performed as an issue in kind corresponding to a dilution of 35.8 per cent. HealthCap VII LP owns 85 per cent of INIM and following the acquisition HealthCap VII LP will hold approximately 30.4 per cent of the shares in Vicore Pharma Holding.

The transaction is subject to customary closing conditions.

Vinge advises Doro in connection with the acquisition of IVS

Vinge has advised Doro in connection with the acquisition of the German distributor IVS Industrievertretung Schweiger GmbH (“IVS”). The acquisition price for IVS, including the maximum additional purchase price in 2014 and 2015, amounts to EUR 17.6 million on a cash and debt free basis. The acquisition is financed through a combination of existing cash and bank loans and Doro also has an option to finance part of the acquisition with Doro shares.

Doro’s products and solutions are available in more than 30 countries spanning five continents and the product range includes mobile phones, apps and software, fixed telephony, telecare and solutions within mHealth. Doro’s turnover in 2012 was SEK 837.5 million and the company’s shares are listed on OMX Nasdaq Stockholm, Nordic List, Small-cap.

Litorina is the majority shareholder in Scandinavian Office Group, which has been owned by Gullbergs since the summer of 2012. Kontorsvaruhuset Gullbergs has been formed as a result of a merger between Gullbergs and Kontorsvaruhuset. The new group will be one of Sweden’s leading suppliers of office supplies and consumable materials as well as related services to both the private sector and public sector. The new group will have nationwide coverage, a turnover of approximately SEK 1.1 billion and have approximately 500 employees. The acquisition is subject to the approval of the Swedish Competition Authority.

Vinge advises Lagercrantz Group AB in connection with the acquisition of Elkapsling AB

Vinge has advised Lagercrantz Group AB in connection with the acquisition of Elkapsling AB a company which develops, manufactures and sells enclosures used to protect electrical and telecom installations with high demand on, e.g. endurance and tightness. Customers predominantly include Swedish installation companies, cabinet suppliers, electric wholesalers and OEM. Elkapsling has aggregate annual sales of approximately MSEK 85 with good profitability.

Vinge and Kirkland & Ellis advises Baxter in connection with the acquisition of Gambro

Vinge and Kirkland & Ellis advises the global medical technology company Baxter International Inc. (“Baxter”) in connection with the acquisition of Gambro AB for an enterprise value of SEK 26.5 billion. Closing of the transaction is subject to applicable competition law approvals and other customary closing conditions.

Vinge acted as local counsel for Baxter. The Vinge team included Johan Winnerblad (partner), Jonas Bergström and Jonas Johansson together with, among others, Nicolina Kindblom, Gustav Jönsson, Rime Dreber, Emma Lindelöf, Daniel Unger, Helena Höök and Evelina Tejle.
