Orkla is a leading actor of trademark and concept solutions for trading in convenience goods and large-scale catering institutions within the Nordic Region, Baltic Region, Central Europe and India. In 2018, the group’s turnover was NOK 41 billion and had approximately 18 500 employees. Orkla Food Ingredients is the largest actor within the bakery ingredients industry in the Nordic Region, and distributes products to 21 countries in total. The primary product categories are yeast, butter, plant‑based products, marzipan and margarine. Zeelandia AB’s product portfolio includes ingredients for all types of bread, buns, cakes and pastries as well as separating agents, balancing oils and food fillers, and is a strategic acquisition in order to strengthen Orkla’s position on the Nordic market. Following the acquisition, Zeelandia AB will change its name to Credin Sverige AB.
The acquisition is conditional upon the consent of the relevant competition authorities and other customary closing conditions.

The purchase price amounted to SEK 2.6 billion on a debt free case free basis. Aleris Care is the leader in the private market for care services in Norway, the sixth largest private operator in Sweden and the largest private provider in the Denmark. Today, Ambea is the second largest player in the private market for care services in Sweden and the seventh largest in Norway. Following the acquisition, Ambea will be the largest care provider in the Nordic region with operations in Sweden, Norway and Denmark. The transaction is subject to regulatory approval by the relevant competition authorities and closing is expected to occur during the first quarter of 2019.

The combined company will be a leading integrated connectivity provider by combining an award-winning mobile network with the fastest national fixed network and the widest range of content in the market. The combination is conditional upon, inter alia, approval from the relevant competition authorities and approval of the merger from the shareholders in Tele2 and Com Hem. The merger is currently expected to be completed in the second half of 2018.

Vinge advised Tele 2 in the largest competition damages case in Sweden
According to the judgment, Telia shall pay damages in the amount of SEK 240 million plus interest to Tele2. The total damages awarded thus currently amounts to approximately SEK 500 million. Notice of appeal must be submitted to Svea Court of Appeal on or before 16 June 2016.
The case relates to damages for alleged abuse of a dominant position by Telia at the beginning of 2000. The alleged abuse consisted of so-called margin squeezing in connection with the provision of resale services for broadband connections via ADSL.

Vinge advises and has acted as lead counsel for Orkla ASA in connection with its acquisition of the hygiene- and health care company Cederroth Intressenter AB. The sellers are funds managed by CapMan and Litorina, together with senior management and other minority shareholders. The purchase price is SEK 502 million, thus valuing the entire Cederroth group (on a debt-free basis) at SEK 2,015 million. The transaction is subject to the approval of the relevant competition authorities and is expected to be completed no later than Q3 2015.

Falbygdens Ost has approximately 100 employees and a turnover of approximately SEK 470 million. The transaction is subject to approval by the Swedish Competition Authority.

The transaction relates to approximately 125 000 fixed broadband customers and approximately 75 000 digital TV customers. Telenor’s acquisition is subject to the approval of the Swedish Competition Authority.

The purchase price amounts to MSEK 250. In 2012, the business had revenues of approximately SEK 1.5 billion. The sale includes a facility in Falun with a production and development division as well as sales and administration, which includes a total of approximately 320 employees. The transaction is conditional upon approval by the competition authorities.

Litorina is the majority shareholder in Scandinavian Office Group, which has been owned by Gullbergs since the summer of 2012. Kontorsvaruhuset Gullbergs has been formed as a result of a merger between Gullbergs and Kontorsvaruhuset. The new group will be one of Sweden’s leading suppliers of office supplies and consumable materials as well as related services to both the private sector and public sector. The new group will have nationwide coverage, a turnover of approximately SEK 1.1 billion and have approximately 500 employees. The acquisition is subject to the approval of the Swedish Competition Authority.
