Vinge advises Vostok New Ventures Ltd

In total, the company will redeem approximately 81,000,000 SDRs for a cash consideration amount of approximately SEK 2 billion. 

The redemption procedure was approved by a special general meeting in Vostok New Ventures on 14 February 2019. The redemption SDRs will be traded on Nasdaq Stockholm during the period 22 February – 7 March 2019.

The prospectus was published on 19 November 2018 and the trading on Nasdaq First North began on 10 December 2018. The total value of the offering amounted to approximately SEK 278 million, assuming that the over-allotment option is fully exercised.

Azelio is a technology company that offers a system of Stirling engine-based concentrated solar power with thermal energy storage that enables electricity production around the clock. The company has its head office in Gothenburg, Sweden, with production in Uddevalla and a development center in Gothenburg and Åmål, as well as a sales office in Beijing, China and a representative office in Madrid, Spain. As of September 30, 2018, the company had 75 employees.

Vicore Pharma Holding acquires INIM Pharma

INIM Pharma develops a new local treatment of severe and unusual forms of lung disease such as idiopathic lung fibrosis. 

The acquisition is performed as an issue in kind corresponding to a dilution of 35.8 per cent. HealthCap VII LP owns 85 per cent of INIM and following the acquisition HealthCap VII LP will hold approximately 30.4 per cent of the shares in Vicore Pharma Holding.

The transaction is subject to customary closing conditions.

Vinge advises Bergs Timber in connection with its in kind acquisition of Norvik’s timber operations in the Baltics and the United Kingdom.

The acquisition of Norvik’s timber operations in the Baltics and the United was approved by the extraordinary shareholders’ meeting in Bergs Timber held on May 14, 2018. The acquisition was made by an issue in kind where the contribution consisted of 170 million shares in Bergs Timber as well as a cash payment of SEK 270 million, amounting to a calculated value of approximately SEK 719 million as per April 17, 2018. The newly issued shares were admitted to trading on Nasdaq Stockholm, Small Cap, on June 7, 2018.

Through the acquisition, Bergs Timber will become a significant participant within the sawmill market, as its sawmill capacity increases from approximately 530,000 m³ per year to approximately 920,000 m³ per year. The acquisition will also increase Bergs Timber’s product processing and thus has the capacity of limiting Bergs Timber’s sensitivity to fluctuations in the economic cycle. The group’s raw materials base is also broadened while risks are spread as part of the production is based on costs in euro.

Vinge has further advised Pandox in connection with the directed share issue of 10,000,000 class B shares that Pandox announced on 15 December 2017. The subscription price was set to SEK 148 per share, whereby Pandox obtained in total SEK 1,480 million, through an accelerated book-building process. The share issue was directed to Swedish and international institutional investors and the purpose of the share issue was to, in a timely and cost efficient manner, enable a capital raising to finance acquisitions and thereby increase the company’s financial flexibility and mandate for continued value creation.

Vinge advises Actic Group AB (publ) in connection with its listing on Nasdaq Stockholm

The offer price was SEK 50.50 per share, corresponding to a market value for Actic of approximately SEK 800 million. The offer related to 8 613 860 shares, of which 5 346 534 were newly issued shares and 3 267 326 were existing shares which were offered by the selling shareholder Actic International S.à r.l., which is owned by IK 2007 Fund. The total value of the offer amounted to approximately SEK 500 million on the assumption that the oversubscription option is exercised in full.

Actic is a North European operator of health care facilities focusing on Sweden, Norway and Germany, and with a presence in Finland and Austria. As per 31 December 2016, Actic had approximately 211 000 members divided into 166 facilities in five countries with approximately 700 employees. Vinge advises Isofol in connection with IPO

The prospectus is expected to be published on 20 March 2017 and the first day of trading on First North Premier is planned for 4 April 2017. The subscription price in the offer is SEK 29 per share, which corresponds to a value of Isofol of approximately MSEK 487 prior to the offer.

Isofol is an oncology company which clinically develops Modufolin which is a first choice medicament in conjunction with treatment of spread colorectal cancer and is standard therapy in conjunction with high dosage treatment with metotrexat of osteosarcoma. Isofol thus intends to replace the existing folate-based medicaments leukovorin and levoleukovorin, which are currently considered to be the standard treatment within these treatment areas.

Vinge has advised Vostok New Ventures Ltd (”Vostok”) in connection with an investment in the Paris based ride-sharing service Comuto SA (”BlaBlaCar”). Through the investment, Vostok has acquired shares in BlaBlaCar for a value of approximately EUR 40 million. The acquisition was made by an issue in kind where the purchase price for the shares in BlaBlaCar consisted of 6,866,766 newly issued shares in Vostok. The acquisition was approved by the Special General Meeting in Vostok on 5 August 2016 and new Swedish depository receipts for the issued shares are expected to be admitted for trading on Nasdaq Stockholm on 11 August 2016. Following the acquisition, Vostok owns approximately 5.4 % of the shares in BlaBlaCar.

Vinge advises Bergs Timber AB in connection with its in kind acquisition of Jarl Timber AB

The acquisition was approved by the annual general meeting of shareholders in Bergs Timber on June 28, 2016. The acquisition of the shares in Jarl Timber AB was made by an issue in kind where the purchase price consisted of 46 338 430 newly issued shares in Bergs Timber. The newly issued shares were admitted to trading on Nasdaq Stockholm, Small Cap, on July 12, 2016.

Bergs Timber produces and sells sawn and processed timber products with an emphasis on the construction market. Total sawmill capacity under the current production structure is approximately 345,000 m³ of sawn timber, of which more than half is processed. The Group offers a full range of silvicultural services, ranging from advising forest owners to clear felling.

Vinge has advised AB Novestra (publ) (“Novestra”) in connection with its acquisition of Strax Group GmbH. The acquisition was approved by the annual general meeting of shareholders in Novestra on April 26, 2016 and the general meeting also resolved to change the name of the company to Strax AB. The acquisition of the shares in Strax Group GmbH was made by an issue in kind where the purchase price consisted of 80 571 293 newly issued shares in Novestra. The newly issued shares were admitted to trading on Nasdaq Stockholm, Small Cap, on May 12, 2016 under the new ticker STRAX.

Strax is a global specialist within mobile accessories with own brands, such as Xqisit, Gear4, Urbanista, Agna and Avo. The proceeds from the issue, together with the proceeds from a share issue which was carried out on 5 April 2016, will be used for repayment of convertible subordinated loans (including payment of a market-based compensation for the option value related to the convertible subordinated loans) and a vendor note to Svensk Bolig Holding AB.

Vinge advises Dometic Group AB (publ) in relation to its listing on Nasdaq Stockholm. A prospectus was published on 11 November 2015 and the first day of trading on Nasdaq Stockholm was 25 November 2015. The price in the offering was set at SEK 48 per share, corresponding to a market capitalisation of SEK 14,200 million for Dometic. The total value of the offering amounts to SEK 5,396 million, assuming that the over-allotment option is exercised in full.

Dometic provides branded solutions for mobile living in the areas of Climate, Hygiene & Sanitation and Food & Beverage. The Company manufactures and sells a broad range of products within these areas for use in recreational vehicles (such as motorhomes and caravans or towables), trucks and premium cars, pleasure and work boats, and for a variety of other uses. Vinge advises Pandox Aktiebolag (publ) in relation to its listing on Nasdaq Stockholm. A prospectus was published on 8 June 2015 and the first day of trading on Nasdaq Stockholm was 18 June 2015. The price in the offering was set at SEK 106 per share, corresponding to a market value of all shares issued by Pandox of SEK 15,900 million. The total value of the offering amounts to SEK 6,360 million, assuming that the over-allotment option is exercised in full.

Pandox is a leading owner of hotel properties located in Northern Europe with focus on sizeable hotels in key leisure and corporate destinations. Pandox’s hotel property portfolio comprises 104 hotels in the upper medium- and upscale segment with a total of 21,969 hotel rooms across eight countries. The market value of Pandox’s property portfolio amounted to SEK 27 billion as of 31 March 2015.

Vinge advises Aspiro in connection with a public takeover offer from S. Carter Enterprises

Vinge advises Aspiro AB (publ) in connection with the public takeover offer from Project Panther Bidco Ltd, indirectly owned by  S. Carter Enterprises, LLC, which is controlled by Shawn Carter. All shareholders of Aspiro are offered SEK 1.05 in cash per share in Aspiro and the total value of the offer amounts to approx. MSEK 464. The acceptance period for the offer is expected to begin on or about 19 February 2015 and expire on or about 11 March 2015. The offer is, inter alia, conditional upon that it is accepted to the extent that Panther becomes the owner of more than 90 per cent of the total number of shares in Aspiro and that Panther receives the necessary regulatory approvals for the acquisition.

The class B shares of Lifco AB (publ) have been admitted to trading on the main market of Nasdaq Stockholm, following an offering to the general public in Sweden and to institutional investors in Sweden and abroad. The price in the offering was SEK 93 per share, corresponding to a market value of all Lifco shares of approximately SEK 8.4 billion.

Vinge advises Nexstim on its dual listing on First North Finland and First North Sweden

Vinge advised Nexstim on its IPO and dual listing of shares on First North Finland and First North Sweden. In the IPO, Nexstim issued 2,408,339 news shares at a subscription price of EUR 6.35 per share, amounting to gross proceeds of roughly EUR 15.3 million. Trading in the company's shares on First North Finland and First North Sweden commenced on 14 November 2014. The transaction is the first ever dual listing on the First North exchanges maintained by Nasdaq.

Nexstim is a medical technology company based in Finland that aims to improve rehabilitation for stroke patients.

Symrise AG has, after having acquired shares corresponding to approximately 30.03 per cent of the votes in Probi AB (publ), launched a mandatory offer to the shareholders in Probi, with an offered price of SEK 40.10 per share. Vinge represents Symrise in connection with the mandatory offer.

Symrise is a global supplier of fragrances, flavourings, cosmetic, active ingredients, and raw materials as well as functional ingredients. The company’s share is listed on the Frankfurt Stock Exchange and the market capitalisation of Symrise is EUR 4 billion.

Vinge has advised RusForest in connection with a restructuring

Vinge has advised RusForest AB (publ), a Swedish forestry company with operations in Russia, (“RusForest”) as it has completed a series of transactions in order to reduce the company’s debt and inject new working capital. As a first step, RusForest reduced the nominal amount and amended the terms and conditions of a listed bond. Subsequently, the reduced nominal amount was swapped into equity in a debt-to-equity swap. RusForest subsequently raised new capital through a rights issue to existing shareholders and a directed issue to the new majority shareholder, the Russian investment company Nova Capital LLC.
