Vinge has advised Axcel’s portfolio company Loopia on the acquisition of the Binero Group’s mass hosting business

The business provides web hosting and domain registrations to small and medium sized companies and consumers and will be carved out from Binero Group in a transaction expected to close during the end of August 2019. Completion of the transaction is subject to customary conditions. For Loopia, this is another step towards having the scale to provide an even better user experience for our many customers. The business that Loopia is acquiring offers web hosting and domain registration to small and medium size enterprises and consumers in a subscription model. The customer base and services fit well into the Loopia Group and the combined team will join forces to pursue Loopia’s ambition to deliver a superior user experience, technological innovations and outstanding local support to Loopia’s customers. The purchase price is approximately SEK 380 million.

The purchase price amounted to SEK 2.6 billion on a debt free case free basis. Aleris Care is the leader in the private market for care services in Norway, the sixth largest private operator in Sweden and the largest private provider in the Denmark. Today, Ambea is the second largest player in the private market for care services in Sweden and the seventh largest in Norway. Following the acquisition, Ambea will be the largest care provider in the Nordic region with operations in Sweden, Norway and Denmark. The transaction is subject to regulatory approval by the relevant competition authorities and closing is expected to occur during the first quarter of 2019.

FSN Capital has received pre-acceptances from shareholders representing approximately 64% of Saferoad’s issued share capital. Vinge has advised Europart in connection with its acquisition of Trailereffekter and LVD Lastvagnsdelar, two distributors of parts for heavy vehicles, from Axel Johnson International.

Vinge has advised Europart, a German provider of commercial vehicle spare parts that was acquired by private equity firm Triton in 2011, in connection with its acquisition of Trailereffekter and LVD Lastvagnsdelar, two distributors of parts for heavy vehicles, from Axel Johnson International.

The strategic rationale behind the transaction is Europart’s interest in growing its market presence in Sweden where the company currently has six branch offices. Europart has annual sales of EUR 412m and 1,600 employees. Trailereffekter and LVD have 16 branch offices throughout Sweden, annual revenue of SEK 264m (about EUR 28.4m as of 1 February 2016) and 93 employees.

The agreement on the acquisition of Trailereffekter AB and LVD Lastvagnsdelar Svenska AB by Europart i Sverige AB (a subsidiary of Europart Holding GmbH) was signed January 29. The transaction is expected to be concluded during March, 2016, pending clearance from competition authorities in Sweden.

Vinge advises Dometic Group AB (publ) in relation to its listing on Nasdaq Stockholm. A prospectus was published on 11 November 2015 and the first day of trading on Nasdaq Stockholm was 25 November 2015. The price in the offering was set at SEK 48 per share, corresponding to a market capitalisation of SEK 14,200 million for Dometic. The total value of the offering amounts to SEK 5,396 million, assuming that the over-allotment option is exercised in full.

Dometic provides branded solutions for mobile living in the areas of Climate, Hygiene & Sanitation and Food & Beverage. The Company manufactures and sells a broad range of products within these areas for use in recreational vehicles (such as motorhomes and caravans or towables), trucks and premium cars, pleasure and work boats, and for a variety of other uses. Bravida Holding AB (publ) has on 16 October 2015 been admitted to trading on Nasdaq Stockholm. The price in the offering was set at SEK 40 per share, corresponding to a market value of all shares issued by Bravida of SEK 8.1 billion. The offer, which consisted of an offer to the general public in Sweden and an international offer to institutional investors, comprised in total 40.5 percent of the Bravida shares offered by Bravissima Holding AB, Bravida´s principal owner, which is indirectly controlled by certain investment funds advised by Bain Capital, LLC and affiliated parties. The total value of the offering amounts to SEK 3.2 billion, assuming that the over-allotment option is exercised in full.

Vinge advises Santander in connection with the acquisition of GE Money Bank

Vinge is advising Santander Consumer Finance, S.A. (“Santander”) in connection with its acquisition of GE Money Bank AB (“GE Money Bank”) from GE Money Bank Holding AB. The transaction is conditional upon approval by the Swedish Financial Supervisory Authority and other relevant competition authorities. The purchase price amounts to approximately EUR 700 million following the execution of a pre-closing dividend  from GE Money Bank to the Seller. Santander will also assume GE Money Bank’s intra-group loans on closing. Closing is expected to occur during the second half of 2014.

Pursuant to the terms of the transaction, the Banco Santander’s consumer finance unit will acquire GE Money Bank’s businesses in Sweden, Norway and Denmark. With a loan portfolio of EUR 2.35 billion, GE Money Bank occupies an attractive market position within consumer finance, such as direct loans and credit cards, whereas Santander is a leader in the region within auto financing with outstanding loans amounting to EUR 8.9 billion. Following the transaction, Santander’s Nordic consumer finance unit will have more than 1.2 million customers in the Nordic region.

VINGE ADVISES LANTMÄNNEN IN CONNECTION WITH THE FORMATION OF SWEDEN’S LARGEST WOOD PELLETS GROUP

Vinge has advised Lantmännen in connection with the merger of Lantmännen Agroenergi and Neova´s wood pellets operations whereby Sweden’s largest wood pellets company is proposed to be created.

The merged company will be a 50/50 joint venture between Lantmännen and Neova with a turnover of more than SEK 1 billion. The merger includes Neova’s refined compacted biofuel operations in Sweden, which are conducted under the trademark Neovas Pellets, as well as Lantmännen Agroenergi’s operations in Sweden and Latvia, which are conducted under the trademarks Agrol and Agroenergi. Demand for refined biofuels is expected to increase significantly in Europe in the next few years.

The merger is conditional upon approval by the relevant competition authorities and other customary conditions to closing.

Vinge advises Lantmännen in connection with formation of poultry group together with CapVest

Vinge has advised Lantmännen co-operative association in connection with the sale of Kronfågel to a newly-formed company which will become the Nordic region’s leading poultry producer and in which Lantmännen will remain a stakeholder with 48% of the voting capital.

The new group, which will be jointly owned together with the British private equity company, CapVest, will consist of Kronfågel, Swehatch and Skånefågel in Sweden, Danpo in Denmark and Cardinal Foods in Norway and will have an annual turnover of approximately SEK 5.4 billion. The transaction is subject to approval by the relevant competition authorities in Denmark, Norway and Sweden.

Vinge advises PPR S.A in connection with the sale of Ellos and Jotex

Vinge has advised PPR S.A in connection with the sale of Ellos and Jotex to Nordic Capital Fund VII for an enterprise value of €275 million. Ellos is the leading home shopping player in Scandinavia for apparel and Jotex has established itself as a key player in the Scandinavian home textile and decoration market.

PPR S.A is one of the world’s leading apparel and accessories groups that operates in the two fastest growing market segments: Luxury and Sport & Lifestyle. The PPR Group has built a balanced collection of complementary consumer brands, including for example Gucci, Bottega Veneta, Saint Laurent, Alexander McQueen, Stella McCartney, Sergio Rossi, Girard-Perregaux, Puma and Tretorn. Vinge advises Axcel in connection with the acquisition of Netel

Netel is a leading actor in Sweden and Norway within the field of services and construction of mobile and terrestrial communications networks. The company carries out the planning, projecting, construction and maintenance on behalf of, among others, telecom operators, network owners and real estate companies. Vinge advised Axcel in connection with the acquisition of Netel, where the current owner has retained a minority stake.

Vinge advises SunPine AB and its shareholders

Vinge has advised SunPine AB, a company conducting operations in the biodiesel industry and the company’s shareholders (Sveaskog Förvaltnings Aktiebolag (publ), Södra Skogsägarana co-operative association, Preem Aktiebolag (publ) and Kiram AB) in a joint venture with Lawter BVBA (a subsidiary of Harima Chemical Group Inc.) regarding the construction of a resin plant at SunPine’s facility in Piteå.
