Vinge advises Transtema in connection with the acquisition of Ericsson Local Services

LSS constructs and maintains network infrastructure, primarily in the southern and central parts of Sweden. During 2017, the business had a turnover of MSEK 1 162, at an adjusted EBITDA of MSEK 34. The purchase price amounts to a maximum of MSEK 180. The acquisition will be partly financed through a fully secured rights issue through subscription undertakings, letters of intent and warranty obligations from Transtema’s main owners. Closing is conditional upon the consent of the Swedish Competition Authority.

The transaction is subject to approval from the Dutch Competition Authorities and is expected to be completed during the summer 2018.

Vinge has advised Papyrus Holding AB

Vinge has advised Papyrus Holding AB in connection with its acquisition of Procurator AB from RoosGruppen AB. The Procurator-group is one of the leading suppliers of inter alia protective clothing and personal protective equipment and cleaning and hygiene products in Sweden, Finland, Norway, Denmark and Estonia. The company had revenues of approx. MEUR 120 in 2015. The transaction is subject to relevant approval from the Swedish Competition Authority.

Vinge advises Canadian Plasman Group and its owner Insight Equity on its acquisition of Plastal Industri AB.

Plastal Industri is a leading supplier of engineered thermoplastic bumper modules, painted and unpainted exterior trim and plastic parts serving both the passenger car and heavy commercial vehicle markets. The company operates out of four state-of-the-art production facilities in Sweden, Norway, and Belgium.

The Plasman Group is a designer and manufacturer of plastic injection molding for state-of-the-art automated painting and complete assembly operations of Class “A” exterior trim products and sub-systems to a variety of OEM and Tier 1 customers. The company offers fully-integrated design, engineering, tooling, molding, finishing (painting and chroming), and assembly capabilities and has approximately 3,600 employees across its network of 16 facilities across North America and Europe.

Artico Group’s head office and manufacturing facility are situated in Kungsängen. The company has 157 employees and in 2015 the company’s turnover was SEK 369 million.

Latour Industries is a wholly owned subsidiary of Latour Industries AB. Closing is estimated to take place at the end of May or beginning of June.

Vinge advises the Second Swedish National Pension Fund and the Sixth Swedish National Pension Fund and their portfolio company Norrporten AB (publ) in relation to an exit process

The exit process resulted in a sale of Norrporten to Castellum AB (publ), listed on Nasdaq Stockholm, at a price of SEK 14.0 billion, based on an issue price in Castellum’s issue in kind of SEK 133 per share and including a dividend of SEK 464 million. Castellum will at closing pay SEK 10.4 billion in cash and 23.41 million Castellum shares to the AP-funds. Prior to the sale, Norrporten had been approved for listing on Nasdaq Stockholm by Nasdaq Stockholm’s listing committee.
 
Norrporten is one of Sweden’s largest office property companies with centrally located properties in Swedish urban growth centres and in Copenhagen. As of 31 December 2015, Norrporten’s property portfolio across eleven geographical market areas comprised 120 properties with a total leasable area of more than 1,140,000 square metres and an aggregate property value of SEK 25.8 billion.

Vinge advises JCE and Tequity on their joint bid for Cybercom

Viltor AB, a company owned by JCE Group Aktiebolag and Tequity AB, has announced a recommended cash offer to the shareholders of Cybercom Group AB (publ) (Nasdaq Stockholm). The offer values Cybercom at around SEK 541 million.
 
Vinge advises the joint bidders. The Vinge team is headed by M&A partner Magnus Pauli and capital markets and public M&A partner Erik Sjöman. Other team members include Jo-Anna Nordström, Anna Palmérus, Karin Wisenius, Mikael Ståhl, Natalie Bäck and Malte Hedlund.

Vinge advises the seller of Comfort Audio i Halmstad AB in connection with the transfer to Sonova Holding AG. Comfort Audio is specialized in the development, manufacturing and distribution of innovative assistive listening devices. The hearing solutions of Comfort Audio cater especially to assist people with hearing loss in challenging listening situations, for example in larger work group sessions or in schools, and complement Sonova’s broad wireless and non-wireless product and solution offering. The closing of the transaction is subject to regulatory approvals.

Vinge ADVISES Hexatronic IN CONNECTION WITH THE ACQUISITION OF Ericsson’s TELECoM CABLES BUSINESS IN Hudiksvall

Vinge has advised Hexatronic Cable and Interconnect Systems AB, a wholly owned subsidiary of Hexatronic Scandinavia AB (publ), in connection with the acquisition of Ericsson’s fibre and sea cable business in Hudiksvall. In 2013, the business has a pro forma turnover of SEK 350 million and in connection with closing approximately 85 employees will be transferred for fibre production purposes and approximately 30 employees will be transferred during a transitional period for copper cable production purposes.
